This Agreement and the rights and obligations of the parties hereunder, shall be construed and interpreted in accordance with the laws of the State of Kansas, except to the extent that the laws of the State of Maryland apply with respect to share transactions. Whenever the context requires, words denoting singular shall be read to include the plural. This agreement is governed by the internal substantive laws, but not the choice of law rules, of California.Ĭonstruction Governing Law The headings used in this Agreement are for convenience only and shall not be deemed to constitute a part hereof. The Plan and this Option Agreement constitute the entire agreement of the parties with respect to the subject matter hereof and supersede in their entirety all prior undertakings and agreements of the Company and Optionee with respect to the subject matter hereof, and may not be modified adversely to the Optionee's interest except by means of a writing signed by the Company and Optionee.
